Terms and Conditions - general terms and conditions for wholesale purchases at www.lema24.pl on a B2B basis.

Definitions

Seller / LEMA - Lema Mariola Wyczółkowska-Żywicka, Manufacturer of Knitted Clothing, with its registered office in 05-220 Zielonka, ul. Niecała 5, Tax Identification Number (NIP) 125 126 00 58, National Business Registry Number (REGON)

Sales Agreement - the Seller's obligation to transfer ownership of the goods or rights to the Buyer and the Buyer's obligation to pay the Seller the agreed price.

Lema24.pl Platform - an electronic form of making wholesale purchases at LEMA using the online channel known as e-commerce.

Customer/Buyer - a natural person who is an entrepreneur or a legal entity for whom the use of the LEMA online clothing wholesaler, including the conclusion of Sales Agreements, is directly related to their business activity and is of a professional nature for that person (i.e., they are not consumers, and from January 1, 2021, and for contracts concluded from that date, they are also not natural persons concluding a contract directly related to their business activity, when the content of that contract indicates that it is not of a professional nature for that person, resulting in particular from the subject of their business activity, disclosed pursuant to the provisions on the Central Registration and Information on Business); (2) a legal entity; or (3) an organizational unit without legal personality, to which the law grants legal capacity – which has entered into or intends to enter into a Sales Agreement with LEMA.

Terms and Conditions - a set of provisions specifying the terms and conditions for concluding sales and purchase transactions on the Lema24.pl platform.

Courier - a legal or natural person delivering goods within Poland, which are the subject of sales contracts concluded between customers and the seller on the Lema24.pl platform.

1.1. The Lema24.pl online wholesale store, owned by Lema Mariola Wyczółkowska-Żywicka, Producer of Clothing for Duffel Bags, with its registered office in 05-220 Zielonka, ul. Niecała 5, NIP 125 126 00 58, and REGON (National Business Registry Number), is a wholesale purchasing platform exclusively for individuals and entities conducting business in Poland and those defined in the DELIVERY catalog for European Union countries.

1.2. After registration (acceptance of the terms and conditions) and positive verification of the customer's data, the customer is accepted and permitted to conclude transactions on the LEMA online platform/wholesale store.

1.3. Registration on the wholesale platform constitutes acceptance of these terms and conditions and consent to the processing of data for the purpose of order fulfillment and the electronic sending of commercial information about promotions, new products, and other changes to the offer and the system itself.

1.4. After logging in using the data provided during registration, the customer will have access to wholesale net prices, technical descriptions, reviews, and other parameters of the products offered by LEMA.

1.5. All transactions are concluded in PLN by default.

1.6. Orders with the status "Traditional bank transfer," "PayU," Przelewy24, or "PayPal" are processed only upon prepayment of the full cost of the purchased goods to the LEMA bank account specified in the order.

1.7. Orders with the status "Cash on delivery" are processed with LEMA's consent and only within the Republic of Poland.

1.8. Customers purchasing from the wholesale store may make wholesale purchases provided the total purchase exceeds PLN 300 gross or a minimum quantity of 10 items per purchase (basket).

1.9. Shipments may be shipped by courier under LEMA's agreements with the courier company or through another forwarder assigned by the Customer, exclusively within the Republic of Poland.

1.10. Orders outside of Poland may be shipped after prior individual consultation with LEMA regarding purchase and delivery terms and the appropriate VAT rate.

1.11. Shipping time within Poland is 1-2 business days, subject to product availability. If the order includes at least one product with availability listed as "made to order," this time is extended by the time required for the item to be available for sale again.

1.12. Complaints regarding damaged shipments or missing items must be submitted directly to the courier company and will be considered after a damage report is completed in the presence of the courier.

1.13. Each shipment includes a product specification (a product list) along with an estimate of the package contents and shipping costs. A bank transfer purchase confirmation is attached to the package upon shipment. A cash-on-delivery purchase document is attached to the package upon shipment or upon receipt of payment or payment confirmation from the courier company.

1.14. Personal collection is available at the LEMA Wholesale Store in 05-552 Wólka Kosowska, ul. Marii Świątkiewicz 50, Polish Shopping Center, box A41, from 3:00 a.m. to 3:00 p.m., Monday through Saturday, and by prior arrangement by phone.

1.15. LEMA reserves the right to change the terms of cooperation, including payment deadlines, discount amounts, and shipping dates, in the event of late payments or orders below the quantity declared by the Customer.

1.16. LEMA reserves the right to change the product range, colors, size charts, and prices presented on the wholesale platform, and to conduct and terminate promotional campaigns early.

1.17. Prices taken into account when placing telephone, email, or direct orders are the net prices listed on the online wholesale platform www.lema24.pl. VAT at 23% is added to all net prices. Intra-Community purchases based on the buyer's current VIES are an exception.

1.18. LEMA reserves the right to errors in the IT system operating the platform regarding product availability. In such cases, the customer will be immediately informed of an extension of the order processing time or its cancellation.

1.19. We will replace defective, damaged, or incorrectly ordered products with the next shipment to the customer.

1.20. In the event of a complaint, please contact us by email to discuss the details. We will replace defective goods with new ones. If the item is out of stock, we will issue a credit note or, after consulting with the Customer, we will exchange it for another item at the same price.

1.21. If the shipment is picked up by a courier hired by the Customer, LEMA charges a packaging fee of PLN 10 net per package with a maximum overall weight of 300 cm. In this case, customer data is not processed or transferred.

1.22. LEMA is exempt from liability for any discrepancies in the colors (shades) of the delivered items with the colors (shades) of the items presented on the www.lema24.pl platform, due to the possible differences in shades during the graphic processing of the posted advertising materials.

1.23. In the event of non-collection of the shipment due to the Buyer's fault, LEMA has the right to demand reimbursement of the costs incurred for preparation, shipping, and return of the shipment, including the shipping costs, and a refund of PLN 15 gross. The basis for charging will be a VAT invoice correction or a debit note issued to the Buyer.

1.24. Consent to data processing for marketing purposes - On May 25, 2018, Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (hereinafter referred to as the GDPR) entered into force. By accepting the Terms and Conditions (checking the "Acceptance of Terms and Conditions" checkbox), you consent to the processing of your personal data, including your name, surname, company name, address, Tax Identification Number (NIP) or National Identification Number (PESEL), email address, and telephone number, by Mariola Wyczółkowska-Żywicka, an entrepreneur running the business LEMA Mariola Wyczółkowska-Żywicka Producent Odzieży Dzianej, for marketing purposes.

1.25. Consent to the processing of personal data for the purpose of order fulfillment - Pursuant to Article 13 paragraphs 1 and 2 of the General Data Protection Regulation of April 27, 2016, we hereby inform you that:
1. The controller of your personal data is LEMA Mariola Wyczółkowska-Żywicka Producent Odzieży Dzianej, ul. Niecała 5, 05-220 Zielonka, NIP 125126 00 58.
2. Your personal data will be processed for the purpose of performing the contract, for the Data Controller to fulfill its legal obligations, and for marketing purposes pursuant to Article 6, paragraph 1, points a, b, and c of the GDPR.
3. The recipients of your personal data for the purpose of performing the contract and for marketing purposes will be employees, business partners, postal operators, and partners providing technical services. The recipients of your personal data for the purpose of fulfilling LEMA's legal obligations will be exclusively entities that, under specific provisions, may request the disclosure and processing of your personal data, as well as employees and associates of LEMA.
4. Your personal data may be transferred to third countries solely for the purpose of performing the contract and only if the third country ensures an adequate level of personal data protection. 5. Your personal data processed for the purpose of concluding or performing a contract and fulfilling the Data Controller's legal obligation will be stored for the duration of the contract, and after its expiry for the period necessary for:
a. post-sale customer service (e.g., complaint handling);
b. securing or pursuing any claims to which the Data Controller is entitled;
c. fulfilling the legal obligation of LEMA (e.g., arising from tax or accounting regulations);
6. Personal data processed on the basis of separate consent (e.g., for marketing purposes) will be stored until such consent is withdrawn.

You have the right to access your data and the right to rectify, erase, restrict processing, transfer your data, object, and withdraw consent at any time without affecting the lawfulness of processing based on consent (if processing is based on consent) prior to its withdrawal. You have the right to lodge a complaint with a supervisory authority if you believe that the processing of your personal data violates the provisions of the General Data Protection Regulation of April 27, 2016.

The provision of personal data by the Buyer is voluntary, but necessary for the performance of the contract. Providing personal data for marketing purposes is voluntary.

RETAIL SALES REGULATIONS


1. These Regulations define the general terms, conditions, and method of sales conducted by Mariola Wyczółkowska-Żywicka, conducting business under the name LEMA Mariola Wyczółkowska-Żywicka, Manufacturer of Knitted Clothing, with its registered office in Zielonka, through the online store www.lema24.pl (hereinafter referred to as the "Online Store"). They also define the terms and conditions for the provision of free electronic services by Mariola Wyczółkowska-Żywicka, conducting business under the name LEMA Mariola Wyczółkowska-Żywicka, Manufacturer of Knitted Clothing, with its registered office in Zielonka.

§ 1 Definitions


1. Business Days - means weekdays from Monday to Friday, excluding public holidays.
2. Delivery - means the actual act of delivering the Goods specified in the order to the Customer by the Seller, through the Supplier. 3. Supplier - means the entity with which the Seller cooperates in the Delivery of Goods:
a) courier company;
b) .
4. Password - means a sequence of letters, numbers, or other characters selected by the Customer during Registration in the Online Store, used to secure access to the Customer Account in the Online Store.
5. Customer - means the entity to which, in accordance with the Terms and Conditions and legal provisions, services may be provided electronically or with whom a Sales Agreement may be concluded.
6. Consumer - means a natural person entering into a legal transaction with the entrepreneur not directly related to their business or professional activity.
7. Customer Account - means an individual panel for each Customer, launched on their behalf by the Seller after the Customer has completed Registration and concluded an agreement for the provision of the Customer Account service. 8. Entrepreneur - means a natural person, a legal person, or an organizational unit without legal personality, to which the law grants legal capacity, conducting business or professional activity on its own behalf and performing a legal act directly related to its business or professional activity.
9. Terms and Conditions - means these terms and conditions.
10. Registration - means an actual act performed in the manner specified in the Terms and Conditions, required for the Customer to use all the functionalities of the Online Store.
11. Seller - means Mariola Wyczółkowska-Żywicka, conducting business under the name LEMA Mariola Wyczółkowska-Żywicka Producent Odzieży Dzianej, with its registered office in Zielonka (05-220), ul. Niecała 5, NIP: 1251260058, REGON: 015746498, entered into the Central Register and Information on Business Activity maintained by the Minister of Entrepreneurship and Technology; Email: andrzej.zywicki@lema24.pl, which is also the owner of the Online Store.
12. Store Website - means the websites where the Seller operates the Online Store, operating under the domain www.lema24.pl.
13. Product - means a product presented by the Seller via the Store Website, which may be the subject of a Sales Agreement.
14. Durable Medium - means a material or device enabling the Customer or Seller to store information addressed personally to them, in a way that allows future access to the information for a period appropriate to the purposes for which the information is used, and which allows for the reproduction of the stored information in an unchanged form.
15. Sales Agreement - means a sales agreement concluded remotely, under the terms specified in the Terms and Conditions, between the Customer and the Seller.

§ 2 General Provisions and Use of the Online Store


1. All rights to the Online Store, including copyrights, intellectual property rights to its name, its internet domain, the Store Website, as well as to templates, forms, and logos posted on the Store Website (with the exception of logos and images presented on the Store Website for the purpose of presenting goods, to which copyrights belong to third parties), belong to the Seller, and the benefit of. They may only be used in the manner specified in and in accordance with the Terms and Conditions and with the Seller's written consent.
2. The Seller will endeavor to ensure that the Online Store is accessible to Internet users using all popular web browsers, operating systems, device types, and internet connection types. The minimum technical requirements for using the Store Website are a web browser of at least Internet Explorer 11 or Chrome 66 or FireFox 60 or Opera 53 or Safari 5 or newer, with Javascript enabled, accepting cookies, and an internet connection with a bandwidth of at least 256 kbit/s. The Store Website is optimized for a minimum screen resolution of 1024x768 pixels.
3. The Seller uses cookies, which are saved by the Seller's server on the hard drive of the Customer's end device when Customers use the Store Website. The use of cookies is intended to ensure the proper operation of the Store Website on Customers' end devices. This mechanism does not damage the Customer's end device and does not cause any configuration changes in Customers' end devices or the software installed on these devices. Each Customer may disable the "cookies" mechanism in the web browser of their end device. The Seller points out that disabling "cookies" may, however, cause difficulties or prevent the use of the Store Website.
4. To place an order in the Online Store via the Store Website or via email, and to use the services available on the Store Website, the Customer must have an active email account.
5. The Customer is prohibited from providing illegal content or using the Online Store, the Store Website, or free services provided by the Seller in a manner that is illegal, contrary to good practice, or that violates the personal rights of third parties.
6. The Seller declares that the public nature of the Internet and the use of services provided electronically may involve the risk of unauthorized access and modification of Customer data. Therefore, Customers should use appropriate technical measures to minimize the risks indicated above. In particular, they should use antivirus software and identity protection programs for internet users. The Seller will never ask the Customer to provide them with a Password in any form.
7. It is prohibited to use the resources and functions of the Online Store to conduct activities that would infringe the interests of the Seller, such as advertising another entrepreneur or product; activities involving the posting of content unrelated to the Seller's business; or activities involving the posting of false or misleading content.
§ 3 Registration
1. To create a Customer Account, the Customer is required to complete a free Registration.
2. Registration is not required to place an order in the Online Store.
3. To register, the Customer should complete the registration form provided by the Seller on the Store's Website and send the completed registration form electronically to the Seller by selecting the appropriate function on the registration form. During Registration, the Customer sets a unique Password.
4. The Customer also has the option to register via their Facebook.com user account. A Customer Account is created via a dedicated redirection from the Online Store to the facebook.com website, where the Customer is asked to provide the username and password for their Facebook.com account. After authorization on the facebook.com website, the Customer is redirected back to the Online Store, where a Customer Account is created, with a link to the user account on Facebook.com. The Facebook.com username and password are not recorded or stored by the Seller.
5. The Customer also has the option to register via their Google.com user account. A Customer Account is created via a dedicated redirection from the Online Store to the google.com website, where the Customer is asked to provide the username and password for their Google.com account. After authorization on the google.com website, the Customer is redirected back to the Online Store, where a Customer Account is created, with a link to the user account on Google.com. The Google.com username and password. Passwords are not recorded or stored by the Seller.
6. When completing the registration form, the Customer has the opportunity to review the Terms and Conditions and accept their content by checking the appropriate box on the form.
7. During Registration, the Customer may voluntarily consent to the processing of their personal data for marketing purposes by checking the appropriate box on the registration form. In such a case, the Seller clearly informs them of the purpose of collecting the Customer's personal data, as well as the recipients of such data known to the Seller or expected by the Seller.
8. The Customer's consent to the processing of their personal data for marketing purposes does not condition the conclusion of an agreement with the Seller for the electronic provision of the Customer Account Management service. Consent may be withdrawn at any time by submitting an appropriate declaration to the Seller. This declaration may, for example, be sent to the Seller's address via email.
9. After submitting the completed registration form, the Customer will immediately receive a confirmation of Registration from the Seller, sent to the email address provided in the registration form. At this moment, a contract for the electronic provision of the Customer Account Management service is concluded, and the Customer is given the ability to access the Customer Account and make changes to the data provided during Registration.

§ 4 Orders


1. The information contained on the Store Website does not constitute an offer from the Seller within the meaning of the Civil Code, but merely an invitation to Customers to submit offers to conclude a Sales Agreement.
2. The Customer may place orders in the Online Store via the Store Website or by email 7 days a week, 24 hours a day.
3. The Customer placing an order via the Store Website completes the order by selecting the Product(s) they are interested in. Product(s) are added to the order by selecting the "ADD TO CART" button under the Product(s) presented on the Store Website. After completing the entire order and specifying the delivery method and payment method in the "CART," the Customer places the order by sending the order form to the Seller and selecting the "Order with payment obligation" button on the Store Website. Each time before the order is sent to the Seller, the Customer is informed of the total price for the selected Goods and Delivery, as well as any additional costs they are obligated to incur in connection with the Sales Agreement.
4. A Customer placing an order via email sends it to the email address provided by the Seller on the Store Website. In the message sent to the Seller, the Customer shall provide, in particular: the name, color, and quantity of the Goods presented on the Store Website, as well as their contact details.
5. After receiving the email message referred to in §4.4 from the Customer, the Seller shall send the Customer a reply email specifying their registration details, the price of the selected Goods, and possible payment methods, the delivery method and its cost, as well as information about any additional payments the Customer would incur under the Sales Agreement. The message also informs the Customer that concluding the Sales Agreement via email entails the obligation to pay for the ordered Goods. Based on the information provided by the Seller, the Customer may place an order by sending an email to the Seller, indicating the chosen payment method and delivery method.
6. Placing an order constitutes an offer by the Customer to the Seller to conclude a Sales Agreement for the Goods that are the subject of the order.
7. After placing the order, the Seller will send a confirmation of its placement to the email address provided by the Customer.
8. Then, after confirming the order, the Seller will send a notification of acceptance of the order to the email address provided by the Customer. The notification of acceptance of the order constitutes the Seller's declaration of acceptance of the offer referred to in §4.6 above, and upon its receipt by the Customer, the Sales Agreement is concluded.
9. After concluding the Sales Agreement, the Seller confirms its terms to the Customer by sending them on a Durable Medium to the Customer's email address or in writing to the address provided by the Customer during Registration or order placement.

§ 5 Payments


1. Prices on the Store Website displayed for a given Product are gross prices and do not include information on Delivery costs or any other costs that the Customer will be obligated to incur in connection with the Sales Agreement, about which the Customer will be informed when selecting the Delivery method and placing an order.
2. The Customer may choose the following payment methods for the ordered Goods:
a) TRADITIONAL TRANSFER - bank transfer to the Seller's bank account (in this case, order processing will begin after the Seller sends the Customer a confirmation of order acceptance and after the funds are credited to the Seller's bank account);
b) PayU - online transfer via the external payment system PayU, operated by PayU S.A. with its registered office in Poznań (in this case, order processing will begin after the Seller sends the Customer a confirmation of order acceptance and after the Seller receives information from the PayU system that the Customer has made the payment);
c) PRZELEWY24 - online transfer via the external payment system Przelewy24 (in this case, order processing will begin after the Seller sends the Customer a confirmation of order acceptance and after the Seller receives information from the Przelewy24 system that the Customer has made the payment);
d) MASTERPASS - online transfer via the Masterpass payment system. Masterpass is the trademark under which Mastercard provides digital payment services in certain markets worldwide, including Poland. It is a digital wallet that allows for faster payments by storing all the information needed for payment and delivery in one place.
e) PAYPAL - online transfer via the external payment system PayPal (in this case, order processing will begin after the Seller sends the Customer a confirmation of order acceptance and after the Seller receives information from PayPal that the Customer has made the payment);
f) AUTOPAY - online transfers; Autopay S.A. is also an online payment system that allows for convenient and quick payment for purchases.
g) COD - cash on delivery is a payment made to the supplier/courier before the ordered goods are picked up. The Seller begins processing the order after sending the Customer information that the order has been accepted for processing. Orders with this status signify the conclusion of a sales/purchase agreement between the parties. This means that if the Customer fails to collect the shipment, the Buyer/Customer will be responsible for the shipping costs and return of the uncollected shipment. A gross PLN 10.00 shipping fee is added to the total amount due to the higher shipping costs for cash on delivery.
h) PAYPO - an online payment system offering "buy now, pay later" with payment deferrals of up to 30 days. i) BANK TRANSFER IBAN/SWIFT - bank transfer to the Seller's bank account in the Customer's currency using the Seller's IBAN/SWIFT account code (in this case, order processing will begin after the Seller sends the Customer a confirmation of order acceptance and after the funds are credited to the Seller's bank account).
j) BANK ACCOUNT PAYMENT - bank transfer to the Seller's bank account dedicated to foreign currency payments (in this case, order processing will begin after the Seller sends the Customer a confirmation of order acceptance and after the funds are credited to the Seller's bank account).
3. The Customer must pay for the order in the amount specified in the concluded Sales Agreement within 7 Business Days, if they have chosen prepayment.
4. If the Customer fails to pay within the deadline referred to in §5.3 of the Terms and Conditions, the Seller will set an additional payment deadline for the Customer and inform the Customer thereof on a Durable Medium. The information about the additional payment deadline also includes information that after the unsuccessful expiry of this deadline, the Seller will withdraw from the Sales Agreement. In the event of the unsuccessful expiry of the second payment deadline, the Seller will send the Customer a declaration of withdrawal from the contract on a durable medium pursuant to Article 491 of the Civil Code.

§ 6 Delivery


1. The Seller shall deliver the Goods subject to the Sales Agreement free of defects.
3. The Seller shall provide information on the Store's Website regarding the number of Business Days required for Delivery and order fulfillment.
4. The Delivery and order fulfillment deadline indicated on the Store's Website is calculated in business days in accordance with §5, paragraph 2 of the Terms and Conditions and is within 48 hours of payment in Poland and approximately 5 days from payment in the case of deliveries to EU countries. If the customer chooses to pay by bank transfer or credit card, order processing time is counted from the date the payment is credited to the Seller's bank account or settlement account. Shipping time to European Union countries

International shipments are shipped via courier companies. Parcels leave our warehouse within 24 hours on business days. Delivery times vary depending on the selected country. Standard international shipping times to EU countries are a few business days.

Shipping costs to European Union countries

Shipping costs to European Union countries depend on the shipping companies' price lists, particularly the weight and dimensions of the shipment, the insurance amount, and the standard and scope of the shipment. Delivery prices to a given EU country are visible in the shopping cart when selecting the delivery method for a given order, and below:

5. Ordered Goods are delivered to the Customer via the Supplier to the address indicated on the order form. If Parcel Locker delivery is selected, the Delivery address will be the address of the parcel locker selected by the Customer when placing the order.
6. On the day the Goods are shipped to the Customer, information confirming that the Seller has dispatched the shipment will be sent to the Customer's email address.
7. The Customer is obligated to inspect the delivered shipment within the time and manner customary for shipments of this type. If any loss or damage is detected, the Customer has the right to request a report from the Supplier's employee.
8. The Seller, at the Customer's request, encloses a receipt or VAT invoice for the delivered Goods with the shipment.
To receive a VAT invoice, the Customer must declare at the time of purchase that they are purchasing the Goods as an Entrepreneur. (taxpayer). The above declaration is submitted by checking the appropriate box in the order form before sending the order to the Seller.
9. If the Customer is not present at the address provided by the Customer when placing the order as the Delivery address, the Supplier's employee will leave a delivery note or attempt to contact the Customer by phone to arrange a time when the Customer will be present. If the Supplier returns the ordered Goods to the Online Store, the Seller will contact the Customer by email or phone, re-agreeing with the Customer on the delivery date and cost.

§ 7 Warranty


1. The Seller guarantees Delivery of Goods free from physical and legal defects. The Seller is liable to the Customer if the Goods have a physical or legal defect (warranty).
2. If the Goods have a defect, the Customer may:
a) submit a declaration of price reduction or withdrawal from the Sales Agreement, unless the Seller immediately and without undue inconvenience to the Customer replaces the defective Goods with defect-free ones or removes the defect. This limitation does not apply if the Goods have already been replaced or repaired by the Seller, or if the Seller has failed to fulfill the obligation to replace the Goods with defect-free ones or to remove the defects. The Customer may, instead of the Seller's proposed removal of the defect, request replacement of the Goods with defect-free ones or, instead of replacement of the Goods, request removal of the defect, unless bringing the Goods into conformity with the Sales Agreement in the manner chosen by the Customer is impossible or would require excessive costs compared to the method proposed by the Seller. When assessing the excessive costs, the value of the Goods free of defects, the type and significance of the identified defect, and the inconvenience to which the Customer would be exposed by another method of satisfaction are also taken into account.
b) request replacement of the defective Goods with defect-free ones or removal of the defect. The Seller is obligated to replace the defective Goods with defect-free ones or remove the defect within a reasonable time without excessive inconvenience to the Customer.
The Seller may refuse to fulfill the Customer's request if bringing the defective Goods into conformity with the Sales Agreement in the manner chosen by the Customer is impossible or would require excessive costs compared to the other method proposed by the Seller.Failure to achieve compliance with the Sales Agreement in any other possible way would require excessive costs. The costs of repair or replacement are borne by the Seller.
3. A Customer exercising warranty rights is obligated to deliver the defective item to the Seller's address. In the case of a Customer who is a Consumer, the delivery costs are borne by the Seller.
4. The Seller is liable under the warranty if a physical defect is discovered within two years of the delivery of the Goods to the Customer. A claim for removal of the defect or replacement of the Goods with defect-free ones is subject to a one-year limitation period, but this period cannot end before the expiry of the period specified in the first sentence. Within this period, the Customer may withdraw from the Sales Agreement or submit a declaration of price reduction due to the defect in the Goods. If the Customer requested replacement of the Goods with defect-free ones or removal of the defect, the period for withdrawal from the Sales Agreement or submission of a declaration of price reduction begins upon the ineffective expiry of the period for replacement of the Goods or removal of the defect. 5. The Customer may submit any complaints regarding the Goods or the performance of the Sales Agreement in writing to the Seller's address.
6. The Seller will respond to any complaints regarding the Goods or the performance of the Sales Agreement submitted by the Customer within 14 days of the request.
7. The Customer may submit a complaint to the Seller regarding the use of free services provided electronically by the Seller. Complaints may be submitted electronically and sent to sklep@lema24.pl. The Customer should include a description of the problem in the complaint. The Seller will review complaints and provide the Customer with a response promptly, but no later than within 14 days.
8. The Seller does not use out-of-court dispute resolution, as referred to in the Act of September 23, 2016, on Out-of-Court Resolution of Consumer Disputes.

§ 8 Withdrawal from the Sales Agreement


1. A Customer who is a Consumer who has concluded the Sales Agreement may withdraw from it within 14 days without giving any reason.
2. The period for withdrawal from the Sales Agreement begins upon the Consumer taking possession of the Goods.
The Consumer may withdraw from the Sales Agreement by submitting a written declaration of withdrawal to the Seller (sample withdrawal form). This declaration may be submitted, for example, in writing to the Seller's address or via email to the Seller's address. The declaration may be submitted on a form, the template of which is posted by the Seller on the Store's Website at: Withdrawal Form. To meet the deadline, it is sufficient to send the declaration before its expiry.
The Consumer may withdraw from the Sales Agreement by submitting a declaration of withdrawal to the Seller using the form available on the website at: Electronic Withdrawal Form. To meet the deadline, it is sufficient to send the declaration before its expiry. The Seller will immediately confirm to the Consumer receipt of the form submitted via the website.
3. In the event of withdrawal from the Sales Agreement, it is considered null and void.
4. If the Consumer submits a declaration of withdrawal from the Sales Agreement before the Seller accepts their offer, the offer is no longer binding. 5. The Seller is obligated to immediately, and no later than 14 days from the date of receipt of the Consumer's declaration of withdrawal from the Sales Agreement, refund all payments made by the Consumer, including the cost of delivery of the Goods to the Consumer. The Seller may withhold reimbursement of payments received from the Consumer until the Goods are received back or the Consumer provides proof of sending back the Goods, whichever occurs first. This applies only to consumer sales (not in the case of purchases for a business), and therefore applies only to sales to an individual who purchases for purposes unrelated to professional or commercial activity.
5. The returned product must not show any signs of use – each item must be complete and factory-sealed, and the goods must be delivered in their original packaging in unaltered condition, with the original tag attached. Failure to meet this requirement will result in the product being rejected.
6. If the Consumer exercising the right of withdrawal has chosen a method of delivery of the Goods other than the cheapest standard delivery method offered by the Seller, the Seller is not obliged to reimburse the Consumer for any additional costs incurred.
7. The Consumer is obliged to return the Goods to the Seller immediately, if however, no later than 14 days from the date on which the Customer withdrew from the Sales Agreement. To meet this deadline, it is sufficient to return the Goods to the Seller's address before the expiry of this deadline.
8. In the event of withdrawal, the Customer who is a Consumer shall bear only the direct costs of returning the Goods.
9. If, due to their nature, the Goods cannot be returned by regular mail, the Seller shall inform the Consumer of the costs of returning the Goods on the Store's Website.
10. The Consumer shall be liable for any reduction in the value of the Goods resulting from their use beyond what is necessary to establish the nature, characteristics, and functioning of the Goods.
11. The Seller shall refund the payment using the same method of payment as used by the Consumer, unless the Consumer has expressly agreed to a different method of return that does not incur any costs for them. 12.

§ 9 Free Services


1. The Seller provides free services to Customers electronically:

a) Contact Form;

b) Newsletter;

c) Customer Account Management.
2. The services indicated in §9 section 1 above are provided 7 days a week, 24 hours a day. 3. The Seller reserves the right to select and change the type, form, time, and method of granting access to selected services, and will inform Customers in a manner appropriate to the amendments to the Terms and Conditions.
4. The Contact Form service involves sending a message to the Seller using the form provided on the Store Website.
5. Cancellation of the free Contact Form service is possible at any time and involves ceasing to send inquiries to the Seller.
6. The Newsletter service is available to any Customer who enters their email address using the registration form provided by the Seller on the Store Website. After submitting the completed registration form, the Customer will immediately receive an activation link via email to the email address provided in the registration form to confirm their subscription to the Newsletter. Upon activation of the link by the Customer, an agreement for the electronic provision of the Newsletter service is concluded.
The Customer may also select the appropriate box in the registration form during Registration to subscribe to the Newsletter service. 7. The Newsletter service involves the Seller sending electronic messages to the email address provided, containing information about new products or services offered by the Seller. The Newsletter is sent by the Seller to all Customers who have subscribed.
8. Each Newsletter addressed to specific Customers includes, in particular: information about the sender, a completed "subject" field specifying the content of the message, and information on the possibility and method of unsubscribing from the free Newsletter service.
9. The Customer may unsubscribe from the Newsletter at any time by unsubscribing via the link provided in each email sent as part of the Newsletter service or by deactivating the appropriate field in the Customer Account.
10. The Customer Account Management service is available after Registration under the terms described in the Terms and Conditions and consists of providing the Customer with a dedicated panel on the Store Website, allowing the Customer to modify the data provided during Registration, as well as track the status of orders and the history of previously completed orders. 11. A Customer who has registered may request the Seller to delete their Customer Account. However, if the Seller requests the deletion of the Customer Account, it may be deleted within 14 days of the request.

12. The Seller is entitled to block access to the Customer Account and free services if the Customer acts to the detriment of the Seller, i.e., conducts advertising activities for another entrepreneur or product; posts content unrelated to the Seller's business; posts false or misleading content, as well as if the Customer acts to the detriment of other Customers, violates legal provisions or the provisions of the Terms and Conditions, and also when blocking access to the Customer Account and free services is justified by security reasons - in particular: if the Customer breaches the security of the Store Website or engages in other hacking activities. Blocking access to the Customer Account and free services with the exception of the blocking of access to the Customer Account and free services for the specified reasons lasts for the period necessary to resolve the issue constituting the basis for blocking access to the Customer Account and free services. The Seller will notify the Customer of blocking access to the Customer Account and free services electronically to the address provided by the Customer in the registration form.

§ 10 Personal Data Protection


1. The Personal Data Protection Principles are set out in the Privacy Policy.


§ 11 Termination of the Agreement (Does not apply to Sales Agreements)


1. Both the Customer and the Seller may terminate the agreement for the provision of electronic services at any time and without giving reasons, subject to the rights acquired by the other party prior to the termination of the aforementioned agreement and the provisions below.
2. A Customer who has registered terminates the agreement for the provision of electronic services by sending an appropriate declaration of intent to the Seller, using any means of distance communication enabling the Seller to become familiar with the Customer's declaration of intent.
3. The Seller terminates the agreement for the provision of electronic services by sending an appropriate declaration of intent to the Customer to the email address provided by the Customer during Registration. § 12 Final Provisions
1. The Seller is liable for non-performance or improper performance of the contract. However, in the case of contracts concluded with Customers who are Entrepreneurs, the Seller is liable only in the event of intentional damage and within the limits of the actual losses incurred by the Customer who is an Entrepreneur.
2. The content of these Terms and Conditions may be recorded by printing, saving on a medium, or downloading at any time from the Store's Website.
3. In the event of a dispute arising under the concluded Sales Agreement, the parties will endeavor to resolve the matter amicably. The law applicable to the resolution of all disputes arising under these Terms and Conditions is Polish law.
4. The Seller informs the Customer who is a Consumer about the possibility of using out-of-court complaint and redress procedures. The rules for accessing these procedures are available at the offices or on the websites of entities authorized to provide out-of-court dispute resolution. These may include, in particular, consumer ombudsmen or the Provincial Inspectorates of the Trade Inspection, a list of which is available on the website of the Office of Competition and Consumer Protection.
The Seller informs that a platform for online dispute resolution between consumers and businesses at the EU level (ODR platform) is available at http://ec.europa.eu/consumers/odr/.
5. The Seller reserves the right to amend these Terms and Conditions. All orders accepted by the Seller for fulfillment before the effective date of the new Terms and Conditions will be fulfilled under the Terms and Conditions in force on the date the Customer places the order. Amendments to the Terms and Conditions will take effect 7 days from the date they are published on the Store's Website. The Seller will inform the Customer 7 days prior to the effective date of the new Terms and Conditions via email, containing a link to the amended Terms and Conditions. If the Customer does not accept the new Terms and Conditions, they are obligated to notify the Seller, which will result in termination of the contract in accordance with the provisions of §11 of the Terms and Conditions.

6. The Terms and Conditions enter into force on January 1, 2020 (last updated on September 10, 2025).
